Provided by Evinrude due S.r.l, operating under the trademark "Coverflex" and part of the Coverflex Group, our app offers a seamless interface for you, the user, to use the flexible benefits allocated by your employer.

The Coverflex App is your gateway to a range of services and benefits tailored to enhance your work-life balance and financial well-being. Through our app, you can access a solution that combines convenience with security, allowing you to manage and spend your benefits with ease.

Our services are accessible via www.coverflex.com/it or through our mobile application available for download on Google Play for Android devices and the Apple Store for iOS devices. The app is designed exclusively for employees of companies that have partnered with Coverflex to provide a flexible benefits program. As a user of the Coverflex App, you will be able to:

●   View and manage your account balance and transactions.
●  Access and use the debit card linked to your Coverflex account for purchases at authorised Points of Sales (POS) and online retailers.
●  Benefit from a range of services agreed upon between Coverflex and your employer, enhancing your employment benefits package.

This document outlines the terms under which you can access and use the Coverflex App, ensuring a clear understanding of your rights and responsibilities as a user.

By using the Coverflex App, you agree to these User Terms of Use, which govern your access to and use of our services. We are committed to providing you with a user-friendly, secure, and efficient way to manage your employment benefits, and we welcome you to the Coverflex community.


2. Definitions
To ensure a clear understanding of the User Terms of Use for the Coverflex App, it's important to define key terms that you will encounter throughout this document. These definitions are intended to make the terms of use more accessible and understandable for you, the user.

A. "
Coverflex App" (or "App") refers to the mobile application provided by Coverflex, through which users can access and manage their Coverflex account, including viewing balances, transaction history, and using the debit card functionalities.
B.
"User" refers to you, the individual accessing or using the App, who is an employee of a company that is a client of Coverflex. This term is used interchangeably with"Employee" in the context of these Terms of Use.
C.
"Client" is the legal entity, specifically your employer, that has entered into a contractual relationship with Coverflex to provide you access to your Coverflex account through the App.
D. "
Coverflex Account" (or “Account”) is the virtual account offered by Coverflex in partnership with licensed payment providers. This account allows you, the user, to use the funds provided by your employer for specific benefits or expenditures as permitted under the program.
E. "
Debit Card" refers to the physical or digital card issued in connection with your Coverflex account, which enables you to access and spend the funds allocated to you by your employer, under the terms agreed upon between Coverflex and the Client.
F. "
Transaction" means any financial operation carried out using the Coverflex account or Debit Card, including but not limited to purchases, withdrawals, and transfers.
G. "
Available Funds" are the funds credited to your Coverflex account by your employer, available for you to spend through your Debit Card, in accordance with the terms set by your employer and Coverflex.
H. "
Data Protection Laws" refer to any applicable laws and regulations relating to the protection of personal data, including but not limited to the General Data Protection Regulation (GDPR) in the European Union.
I. "
Unauthorised Use" occurs when your Coverflex account, App, or Debit Card is accessed or used by someone without your knowledge or consent, including any fraudulent or suspicious activities.
J. “
Benefits” refer to the allocations of funds that companies, our clients, make to their employees, allowing them to use such funds for specific types of transactions.These transactions must align with the respective categories of benefits permitted under the legislation of the jurisdiction in which the company operates. This includes, but is not limited to, funds allocated towards meal allowances. These allocations are made available through the Coverflex Account and can be accessed and managed via the Coverflex App.

Understanding these terms will help you navigate the User Terms of Use more effectively and ensure that you are fully informed about your rights and responsibilities as a user of the Coverflex App.


3. User Account and Access
3.1. Eligibility and User Registration

   3.1.1. Eligibility: To use the Coverflex App, you must be an employee of a company that is a client of Coverflex, henceforth referred to as the "Client." The App is designed exclusively for individuals like you, who are part of an organisation that has partnered with Coverflex to offer flexible employment benefits. Your eligibility to access and use the App is initially contingent upon your current employment status with a Client of Coverflex. Additionally, your access to and use of the App may extend beyond your employment period according to cool down terms defined by Coverflex, which allow continued use of remaining funds or benefits for a specific period of time.
   3.1.2. User Registration: To begin using the Coverflex App, your company completes a registration process which involves providing accurate and current information, including but not limited to your name, email address, and any other details deemed necessary by Coverflex to establish and maintain your account.
       3.1.2.1. Upon successful registration, you will be granted a unique user account ("Coverflex Account"), which you will use to access the services provided by the Coverflex App.
        3.1.2.2. It is your responsibility to ensure that your information throughout the duration of your use of the App remains accurate, complete, and up-to-date.

3.2. Account Security and Responsibilities

   3.2.1. Account Security: The security of your Coverflex Account is paramount. Upon registration, you will be prompted to create a secure password. It is your responsibility to maintain the confidentiality of your account information, including your password, and to restrict access to your device to prevent unauthorised account access.
        3.2.1.1. You agree not to disclose your password to any third party and to take all necessary steps to ensure that your account information remains secure.
        3.2.1.2. You are also responsible for the security of your device and for any activity that occurs under your account, whether or not you have authorised such activities.
   3.2.3. Account Review: Coverflex reserves the right to suspend or terminate your account, refuse any current or future use of the App, or take any other action deemed necessary due to any unauthorised use of the App, provision of inaccurate, not current, or incomplete information, or for any other reason that violates the Terms laid out in this document or in additional Terms and Conditions.
   Through adherence to these guidelines, you contribute to maintaining a secure, respectful, and law-abiding community of users within the Coverflex App. Your compliance with these terms ensures a smooth and beneficial use of the Coverflex services, allowing you to fully enjoy the advantages of your employment benefits package.
4. Coverflex Services
4.1. Description of the Coverflex Account

The Coverflex Account serves as your central hub for managing and accessing the employment benefits provided by your employer through Coverflex. This virtual account is uniquely tailored to facilitate a seamless interaction with your allocated benefits, offering features such as:

●   Balance Viewing: Instantly check the balance of funds available in your Coverflex Account at any time.
●  Transaction Management: Review detailed records of all transactions processed through your account, including purchases made with the Coverflex Debit Card.
●  Benefits Access: Use a range of services and benefits specially agreed upon between Coverflex and your employer, designed to enhance your overall employment benefits package.

The Coverflex Account is designed to provide you with a flexible, secure, and convenient way to manage and use your employment benefits, aligning with your personal and professional needs.

4.2. Debit Card Usage and Limitations

Upon successful registration and activation of your Coverflex Account, you will be issued a Coverflex Debit Card. This card links directly to your account, allowing you to spend your available funds on eligible purchases in accordance with the terms set by your employer and Coverflex.

   4.2.1. Usage: The Debit Card can be used at authorised Points of Sale (POS) and online retailers that accept card payments, enabling you to benefit from the services and goods within the scope of your employment benefits.
   4.2.2. Limitations: The usage of your Debit Card is subject to certain limitations, including:
        4.2.2.1. Spending Limit: Your transactions cannot exceed the balance of available funds in your Coverflex Account.
        4.2.2.2. Merchant Restrictions: The Debit Card can only be used with merchants that are part of the Coverflex program, as agreed upon by your employer and Coverflex.
        4.2.2.3. Security Measures: For your protection, Coverflex may implement additional security measures, including transaction limits or restrictions on types of purchases.

4.3. Transaction Procedures and Limitations

To ensure a smooth and secure experience with your Coverflex Account and Debit Card, the following procedures and limitations apply to all transactions:

   4.3.1. Procedures:
        4.3.1.1. Authorization: Each transaction requires authorisation to ensure that funds are available and that the purchase falls within the agreed-upon benefits.
        4.3.1.2. Record Keeping: Users are encouraged to keep records of their transactions, including receipts and transaction histories, accessible through the Coverflex App.
   4.3.2. Limitations:
        4.3.2.1. Transaction Limits: Coverflex or your employer may set daily, weekly, or monthly transaction limits to manage spending effectively.
        4.3.2.2. Eligible Purchases: Only purchases that align with the terms of the Coverflex program and benefits package are authorised. Unauthorised transactions may be declined, and repeated attempts at unauthorised purchases may result in account restrictions.
        4.3.2.3. Reporting: Any issues or discrepancies with transactions must be promptly reported to Coverflex for investigation and resolution.

By adhering to these guidelines, you help ensure that your Coverflex Account and Debit Card remain valuable tools for managing and enjoying your employment benefits.

5. User Responsibilities
5.1 Accuracy of Information

As a user of the Coverflex App, you hold the responsibility for ensuring the accuracy, completeness, and timeliness of the information you provide throughout your use of the App. This includes personal details, contact information, and any other data required by Coverflex to maintain your account. Failure to provide accurate and up-to-date information may result in the inability to access or use the Coverflex services fully, and could lead to the suspension or termination of your account.

5.2. Reporting Unauthorised Use

You are required to monitor your Coverflex Account and Debit Card for any signs of unauthorised use, theft, or loss. Should you notice any suspicious activity or believe your account has been compromised, it is imperative to immediately inform Coverflex. Prompt reporting minimises the risk of financial loss and enables Coverflex to take necessary actions, such as blocking transactions, securing your account, and preventing further unauthorised access. You may be held liable for unauthorised transactions that occur before Coverflex is notified.

5.3. Compliance with App Use Guidelines

Your use of the Coverflex App and services is subject to compliance with guidelines established by Coverflex, designed to ensure a secure, respectful, and lawful environment for all users. This includes, but is not limited to:

   5.3.1.  Using the Coverflex services only for lawful purposes and in a manner that does not infringe upon the rights of, or restrict or inhibit the use and enjoyment of, the service by other users.
   5.3.2.  Refraining from engaging in conduct that could damage, disable, overburden, or impair any Coverflex server, or the network(s)connected to any Coverflex server, or interfere with any other party's use and enjoyment of the Coverflex App.
   5.3.3.  Avoiding the transmission of any material that is abusive, harassing, defamatory, obscene, fraudulent, or otherwise objectionable, or that infringes upon or violates the rights of any other party.
   5.3.4.  Not attempting to gain unauthorised access to the Coverflex services, other accounts, computer systems, or networks connected to any Coverflex server through hacking, password mining, or any other means.

6. Privacy and Data Protection
Coverflex upholds the highest standards of privacy and data protection in managing your personal information. The collection, usage, storage, and dissemination of your data are conducted with the foremost respect for your privacy rights and in strict adherence to applicable Data Protection Laws, including the General Data Protection Regulation (GDPR) for users within the European Union.

6.1. Data Handling and Protection

The personal details you provide during the registration process, along with your transaction histories and app usage patterns, are safeguarded with advanced security measures aimed at preventing unauthorised access, modification, disclosure, or destruction. These measures reflect our commitment to protecting your privacy and ensuring the integrity and confidentiality of your data.

6.2. Basis for Data Processing

The processing of your personal data by Coverflex is not based on consent but is necessary for the performance of the contract between your employer (the Client) and Coverflex.This contractual basis allows us to provide you with the services and benefits as outlined in the agreement with your employer, manage your Coverflex Account effectively, offer customer support, and communicate with you regarding account updates, new features, or services.

6.3. Privacy Policy

For comprehensive details on how Coverflex handles user privacy and data protection, including the types of information collected, the purposes for which it is used, and your rights regarding your personal data, please refer to the Coverflex App Privacy Policy. The Privacy Policy elaborates on our practices and procedures for ensuring your data's security and outlines how you can exercise your rights under the applicable data protection laws.

By using the Coverflex App, you acknowledge that you have read, understood, and agreed to the terms outlined in the Coverflex App Privacy Policy, as well as the practices and procedures for data handling and protection as described in this section.

7. Changes to Services and Terms
Coverflex reserves the right to modify, suspend, or discontinue, temporarily or permanently, the services provided through the Coverflex App at any time with or without notice. This includes the ability to change features, functionality, and content offered in the App. Furthermore, Coverflex may revise these User Terms of Use to reflect changes in the law, our services, or any other reason deemed necessary by Coverflex. Users will be notified of significant changes to the terms and are encouraged to review the Terms of Use periodically for updates.

8. Intellectual Property Rights
All content included in the Coverflex App, such as text, graphics, logos, button icons, images, audio clips, digital downloads, and software, is the property of Coverflex or its content suppliers and protected by international copyright and intellectual property laws. Coverflex grants you a non-exclusive, non-transferable, revocable licence to use the App strictly in accordance with these User Terms of Use.

9. Termination of Use
These User Terms of Use and your use of the Coverflex App shall be governed by and construed in accordance with the laws of the country where Coverflex is registered, without giving effect to any principles of conflicts of law. Any disputes arising under or in connection with these User Terms of Use shall be subject to the exclusive jurisdiction of the courts of that country.
10. Dispute Resolution and Governing Law
These User Terms of Use and your use of the Coverflex App shall be governed by and construed in accordance with the laws of the country where Coverflex is registered, without giving effect to any principles of conflicts of law. Any disputes arising under or in connection with these User Terms of Use shall be subject to the exclusive jurisdiction of the courts of that country.

11. Limitations of Liability
Coverflex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use theApp; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Coverflex has been informed of the possibility of such damage.

12. General Provisions
These User Terms of Use constitute the entire agreement between you and Coverflex regarding the use of the Coverflex App, superseding any prior agreements between you and Coverflex (including, but not limited to, any previous versions of the User Terms of Use). If any provision of these User Terms of Use is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will be enforced to the fullest extent under law.
